The commercial law department focuses on providing integral advice to companies and corporate groups, whether private or public, given that the firm’s clients include private companies from various industrial and tertiary sectors (textiles, garment manufacturing, food, engineering, real estate, leisure, IT and audiovisual, amongst others) and public companies governed by private law (municipal corporations, mixed-economy companies). We place a particular emphasis on the circumstances and specific problems of family enterprises.

The commercial law department offers advice on, amongst other aspects, the incorporation of companies, subsidiaries and branches; AIEs (Economic Interest Groups), UTEs (Temporary Union of Companies), European public limited companies, cooperatives, foundations, mixed-economy companies; and company transformations, mergers, spin-offs, dissolutions and liquidations.

Badia)advocats’ experience also encompasses the design of inter-company operations, parasocial pacts, shareholder restructuring, lines of succession in family enterprises, and any other contingencies arising from them. We offer integral advice on drawing up and implementing family enterprise protocols.

We also offer direct advice to individuals holding positions on boards of directors and on protection from liability for administrators.
